Effective September 28, 2026
These Terms of Service ("Terms") govern your use of helloospi.com and the Ospi Marketing App at app.helloospi.com (together, the "Service"), provided by Ospi Technologies LLC ("Ospi", "we", "us").
1. Agreeing to these Terms
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service for an organization, you confirm that you're authorized to accept these Terms for it, and "you" includes that organization.
2. The Service
The Service helps teams plan, create, review and approve marketing content, with AI agents called Ospi Agents. Features marked "Coming soon" or offered as early access may change or be removed.
3. Accounts and workspaces
Give us accurate information and keep your sign-in details secure; you're responsible for activity under your account. Workspace owners and admins control who can join a workspace, their roles and the workspace settings, and are responsible for how their members use the Service. You must confirm your email address to use the Service.
4. Your content
You keep ownership of the content you and your team add to the Service. You give us a limited permission to host, store, process, transmit and display that content only as needed to provide the Service to you, including sending it to AI providers when you use Ospi Agents. You're responsible for having the rights to everything you upload, including images, videos, logos, trademarks and client materials.
5. AI features
Ospi Agents generate output automatically. Output may be inaccurate, incomplete or similar to content generated for others, and we don't guarantee it's free of third-party rights. Review all output before you publish it. Copy QA and other checks are aids, not legal, regulatory, medical, financial or other professional review. If you work in a regulated field, such as legal services, healthcare or financial services, you're responsible for your own compliance review.
6. Acceptable use
You agree not to:
- use the Service for anything illegal, deceptive, infringing, harassing or hateful;
- upload malware or harmful code;
- try to access another workspace's data, get around security or usage limits, or disrupt the Service;
- create accounts by automated means, or scrape or copy the Service;
- resell the Service without our written agreement;
- use the Service or its output in a way that breaks the usage policies of the AI providers we use.
7. Fees and AI usage
During early access, Ospi doesn't charge a subscription fee, and each workspace has AI usage limits. We may introduce paid plans or usage-based credits. We'll give you at least 30 days' notice before charging you, and you can stop using the Service before any charges start.
8. Third-party services
The Service relies on third-party providers, including hosting, email delivery and AI model providers. Their services are governed by their own terms, and we aren't responsible for them.
9. Suspension and termination
You can stop using the Service at any time, and a workspace owner can ask us to delete a workspace. We may suspend or end access if you break these Terms, if your use creates a security or legal risk, or if we stop offering the Service. When access ends, we'll handle your data as described in the Privacy Policy.
10. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
11. Limitation of liability
To the fullest extent the law allows, Ospi won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or US$100.
12. Indemnity
You agree to defend and indemnify Ospi against claims arising from your content or your breach of these Terms.
13. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Santa Clara County, California.
14. Changes to these Terms
We may update these Terms. We'll post changes on this page and update the date at the top. If a change is significant, we'll email workspace owners at least 14 days before it takes effect. Continuing to use the Service after that means you accept the updated Terms.
